By requesting, ordering or accepting a proposal for our services, you (“the Client”) agree to be bound by these Terms.
2. Definitions
“Services” means the web and software development, hosting, digital marketing, consultancy and related services we agree to provide. “Proposal” means a written quotation, statement of work or order describing the Services, deliverables and fees.
3. Services and quotations
3.1 The specific Services, deliverables, timescales and fees for each engagement are set out in a written Proposal agreed between us and the Client.
3.2 A quotation is valid for 30 days from its date unless stated otherwise. A binding contract is formed when the Client accepts a Proposal in writing (including by email) or instructs us to begin work.
3.3 Any change to the agreed scope must be agreed in writing and may affect the fees and timescales.
4. Fees, invoicing and payment
4.1 Fees are as stated in the applicable Proposal and are exclusive of VAT, which will be charged at the prevailing rate.
4.2 We invoice as set out in the Proposal (for example, on acceptance, at agreed milestones, on completion, or on a recurring basis for ongoing services).
4.3 Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date.
4.4 The Client is responsible for checking each invoice on receipt and must raise any query or dispute in writing before the invoice due date, in accordance with our Refund & Cancellation Policy.
4.5 We may charge interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend Services while any undisputed invoice remains unpaid.
5. Client responsibilities
The Client shall provide, promptly and accurately, all information, materials, access and approvals we reasonably require, and shall ensure it holds all necessary rights in any content it supplies to us.
6. Intellectual property
6.1 Unless otherwise agreed in writing, intellectual property rights in bespoke deliverables transfer to the Client upon full payment of all sums due.
6.2 We retain ownership of our pre-existing materials, tools and know-how, and grant the Client a licence to use them to the extent necessary to use the deliverables.
7. Confidentiality and data protection
Each party shall keep the other’s confidential information confidential. We process personal data in accordance with our Privacy Policy and applicable data protection law.
8. Warranties and liability
8.1 We will provide the Services with reasonable care and skill.
8.2 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded by law.
8.3 Subject to the above, our total liability arising out of or in connection with an engagement shall not exceed the total fees paid by the Client for that engagement, and we shall not be liable for indirect or consequential loss, or for loss of profit, revenue or data.
9. Cancellation and termination
9.1 Either party may terminate an engagement for a material breach that is not remedied within 14 days of written notice.
9.2 Ongoing or recurring services may be cancelled by either party on 30 days’ written notice unless the Proposal states otherwise.
9.3 On termination, the Client shall pay for all Services performed, and costs committed, up to the date of termination.
10. Refunds
Refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.
11. Force majeure
Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control.
12. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
